DESCRIPTION

Acacia Research is a holding company that acquires and operates businesses across industrial, energy, and mature technology sectors, positioning itself as a long-term owner with no required exit horizon. Acacia targets undervalued or under-managed businesses, underwrites acquisitions based on ongoing free cash flow yield rather than exit multiples, and finances deals with cash on hand and subsidiary-level non-recourse debt, carrying zero debt at the holding company level. Acacia operates four segments. Manufacturing Operations consists of Deflecto, a specialty products maker serving the Class 8 truck market (mud flaps, warning triangles), HVAC market (dryer vents, air ducts), and office products market (sign holders, floor mats). Energy Operations is Acacia's ~73.5% stake in Benchmark Energy, an oil and gas producer in the Anadarko Basin that hedges over 70% of production through early 2028. IP Operations, Acacia's legacy business, acquires and licenses patent portfolios — particularly Wi-Fi 6 and Wi-Fi 7 standards-essential patents — generating lumpy revenue driven by settlement timing. Industrial Operations consists of Printronix, a niche manufacturer of line matrix printers and ink ribbons used in warehousing and inventory management, primarily in Asia and developing markets. Acacia's controlling shareholder is Starboard Value, which holds over 60% of shares and supports deal sourcing. Acacia's growth strategy centers on M&A funded by a substantial liquid balance sheet, supplemented by tuck-in acquisitions within existing platforms and opportunistic IP portfolio investments.
