DESCRIPTION

ENGlobal is a small Houston-based engineering and technical services firm serving energy companies and the U.S. government. ENGlobal operates through two segments: Commercial and Government. The Commercial segment provides engineering, procurement, construction management, automation, and fabrication services to private energy clients, including downstream refineries, petrochemical plants, renewable energy facilities, and midstream pipeline and storage operators. The Government segment designs, integrates, and maintains process control and data gathering systems for U.S. government agencies, primarily the U.S. Navy. A key product offering is modular control systems — including distributed control systems, emissions monitoring, and power distribution equipment — fabricated in custom enclosures. ENGlobal sells primarily to Fortune 500 energy companies and federal agencies, using master services agreements to secure repeat project flow without renegotiating terms each time. Revenue is earned through time-and-material contracts (predominant in Commercial) and fixed-price contracts. Profitability depends heavily on staff utilization, as labor is the primary cost. ENGlobal argues its differentiation lies in combining engineering, automation, and fabrication under one roof. The company has been shrinking significantly, cutting headcount by roughly half in 2023 and exiting self-performed construction and field services, narrowing its focus to engineering and automation. ENGlobal is currently in financial distress, with recurring losses and going concern uncertainty.
