DESCRIPTION

Healthier Choices Management Corp. (HCMC) is a small, early-stage company focused on commercializing patented vaping products and monetizing its IP portfolio through licensing and enforcement. HCMC's core product is the Q-Cup, a patented quartz cup that vaping consumers fill with cannabis or CBD concentrate and that is heated externally without direct contact. HCMC also sells related hardware, including Q-Cup tanks and globes, under its Q-Cup brand. HCMC does not manufacture anything itself — third-party manufacturers produce finished goods to HCMC's specifications. HCMC aims to generate revenue through three channels: direct product sales, licensing its patented vaporizer technologies, and patent enforcement litigation targeting alleged infringers. The IP enforcement strategy has faced setbacks — HCMC's lawsuit against Philip Morris over the IQOS product was dismissed in December 2024 after a court ruled the underlying patent invalid, and a separate suit against R.J. Reynolds over the Vuse e-cigarette remains active but faces a patent validity challenge. In September 2024, HCMC spun off its grocery and wellness retail business, leaving the vaporizer and IP business as the sole continuing operation. HCMC carries a going concern qualification and has not demonstrated meaningful revenue from any of its three channels.
