DESCRIPTION

ClearOne was previously a developer and seller of professional audio conferencing, microphone, and video collaboration equipment for corporate, education, and other professional settings. In October 2025, ClearOne sold its core intellectual property, product inventory, and related assets to Biamp for $3M, effectively exiting its operating business entirely. ClearOne no longer manufactures or sells products. The company's current activities are purely transitional: fulfilling warranty obligations on legacy products, collecting receivables, winding down remaining assets, and maintaining public-company compliance. ClearOne generates no material revenue and has no operating business model. The asset sale triggered mandatory redemption of all outstanding preferred stock. Today, ClearOne is effectively a shell company with a public listing, controlled by majority shareholder First Finance with approximately 54% of common stock. ClearOne is evaluating strategic alternatives, which may include acquiring a private operating company, additional asset sales, or other transactions intended to return value to stockholders.
