DESCRIPTION

Mitesco is a small holding company in the early stages of building a data center and cloud computing business, with no meaningful revenue and no full-time employees. Its core operating subsidiary, Centcore, offers managed data center services — hosting clients' applications and IT infrastructure, including compute, communications, and backup — on a recurring fee basis. Centcore does not own its own infrastructure; it operates through a co-location agreement with a data center in Melbourne, Florida, which has relationships with eight other data centers globally. Centcore also has longer-term plans to develop a network of small-format data centers inside existing facilities. The second subsidiary, Vero Technology Ventures, focuses on early-stage cloud and AI software development, with its primary project being "Robo Agent," an AI-assisted sales tool targeting residential real estate, expected to launch in Q3 FY2026. Vero Technology Ventures also has a contract to build a listing and sales app for the pickleball market, expected to complete in late FY2026. Mitesco has gone through several failed business pivots — including pharmacy acquisitions and a nurse practitioner clinic chain — leaving the company with over $30M in liabilities, most of which has been converted into equity. Mitesco is currently pre-revenue in its new business lines and funds operations through small convertible bridge notes from two institutional investors.
