Mesabi Trust is a passive royalty trust that holds interests in iron ore mineral properties on the Mesabi Iron Range in northeastern Minnesota. The Trust does not mine iron ore itself — it owns the mineral rights and collects royalties from a third-party operator that leases those properties and runs the mine. The Trust earns two types of royalties: leasehold royalties, paid by the operator based on iron ore tonnage shipped or revenue generated, and land trust and fee royalties related to fee ownership of certain lands within the mineral property area. Because royalty income is tied directly to both production volumes and iron ore prices, distributions to Trust certificate holders fluctuate with market conditions and the operator's production decisions. The Trust passes substantially all income through to certificate holders as distributions, keeping its own operating expenses minimal. The Trust has no employees, directors, or officers, and is administered solely by a Corporate Trustee that handles financial recordkeeping, cash management, and reporting. The Trust exercises no control over the operator's production levels or pricing, making its financial results entirely dependent on external factors.
