Lower Cross Acquisitions is a special purpose acquisition company formed to effect a merger, share exchange, asset acquisition, or similar business combination with one or more operating businesses. The company has no commercial operations or revenue and focuses its acquisition search on the healthcare, healthcare-related, and insurance sectors in the U.S. and other developed markets. Lower Cross operates by raising capital through an IPO and private placements, placing the proceeds into an interest-bearing trust account until a transaction closes. The company has 24 to 27 months to identify a target, negotiate terms, and complete an initial business combination where the target business has a fair market value of at least 80% of the trust assets. Upon closing an acquisition, the sponsor's founder shares convert into public equity. If Lower Cross fails to complete an acquisition within the required window, or if public shareholders choose to redeem their shares, Lower Cross distributes the trust assets back to public shareholders.
