DESCRIPTION

Oceanhawk Acquisition II is a special purpose acquisition company formed to effect a merger, share exchange, asset acquisition, or similar business combination with one or more operating businesses. The company has no commercial operations of its own and has not selected a target business. Oceanhawk Acquisition II is an affiliate of OceanHawk, a Houston-based private investment firm, and aims to leverage its sponsor's network, operational capabilities, and deal flow. The company focuses primarily on acquiring EBITDA-positive, U.S.-based targets in industrial, infrastructure-adjacent, and essential services sectors that possess defensible market positions, revenue visibility, and both organic and M&A growth opportunities. Oceanhawk Acquisition II raises capital by offering public units consisting of ordinary shares and rights, holding the proceeds in a trust account invested in short-term U.S. Treasuries and money market funds. If Oceanhawk Acquisition II does not complete a business combination within 24 months of its initial public offering, it must redeem its public shares from the trust account and liquidate.
