Bridge III is a blank check company, also known as a special purpose acquisition company, incorporated to identify and acquire an operating business. The company has no current operations or revenue. Bridge III aims to raise capital through an initial public offering and use those funds to complete a merger or acquisition, thereby taking a private company public. The firm targets businesses with enterprise values between $650M and $2B, focusing on sectors such as green energy, artificial intelligence, business software, and advanced manufacturing. Although Bridge III considers targets in North America, Europe, and Asia Pacific, its leadership team and sponsor, Oriental Holdings, maintain significant ties to China. Management includes executives who have led multiple prior SPACs through completed business combinations. Under its business model, Bridge III places all proceeds from its offering into a trust account to fund a future deal or to return to shareholders if no transaction occurs within a set timeframe. The sponsor holds founder shares purchased at a nominal price, which creates a financial incentive to finalize a business combination.
