DESCRIPTION

Quantum Leap Acquisition Corp is a SPAC with no operations. Its sole purpose is to identify and complete a merger or acquisition with one or more target businesses. Quantum Leap raised $200M through an IPO of 20M units at $10.00 per unit, with proceeds held in a trust account invested in U.S. Treasuries while the company searches for a target. The company focuses on AI, quantum computing, and blockchain, though it may pursue targets in any industry, excluding companies based primarily in Greater China. The sponsor, Paddington Partners 88, acquired founder shares for a nominal $25,000 investment, which convert into roughly 25% of post-combination shares upon closing a deal — a structure that creates a significant asymmetry between the sponsor's economics and those of public shareholders, and can create an incentive to close any deal rather than wait for an ideal target. Public shareholders pay $10.00 per unit and have the right to redeem their shares at approximately $10.10 per share if they choose not to participate in a deal. Quantum Leap has 18 months to complete a business combination, extendable up to 36 months with shareholder approval. Key management includes CEO Kervin Pillay, a telecom and infrastructure executive, CFO Haydar Haba, CEO of AI-focused growth fund Andra Capital, and COO David James Chapman, a co-founder of OSL Group, a regulated digital asset trading platform.
