The target customer is an investor who wants DOT exposure without managing a digital wallet or a relationship with a digital asset exchange — buying shares through a standard brokerage account instead. The Trust is sponsored by Grayscale Investments Sponsors, an indirect subsidiary of Digital Currency Group, with Coinbase Custody serving as custodian and Bank of New York Mellon as transfer agent and administrator. Polkadot is a blockchain platform designed to connect multiple independent blockchains into a single interoperable ecosystem; DOT is used for governance, staking, bonding, and transaction fees within that ecosystem. The Trust generates revenue through a daily Sponsor's Fee accrued as a percentage of NAV and paid in DOT, which gradually reduces the DOT held per share over time. In exchange, Grayscale covers ordinary operating expenses. The Trust also has a potential additional revenue stream through staking DOT on the Polkadot Network, but this requires satisfying a "Staking Condition" — primarily a tax ruling confirming grantor trust status — which had not been met as of the filing date. Shares are created and redeemed only through registered broker-dealers in blocks of 10,000, and all transactions are currently cash-based, as NASDAQ has not yet received regulatory approval for in-kind transfers.
