DESCRIPTION

Grayscale is a digital asset investment platform that offers regulated investment vehicles — primarily ETFs, ETPs, and private funds — giving investors exposure to digital assets like Bitcoin and Ethereum without requiring direct ownership or custody of the underlying tokens. Investors access Grayscale's products through standard brokerage accounts, retirement accounts, and advisor platforms. Grayscale's two flagship products are the Grayscale Bitcoin Trust ETF (GBTC) and the Grayscale Ethereum Staking ETF (ETHE), which together account for roughly 70% of Grayscale's ~$35B in AUM. Grayscale also offers lower-fee "Mini Trust" versions of its Bitcoin and Ethereum products targeted at advisor platforms, as well as a suite of over 40 alternative token ETPs covering assets like Solana, Dogecoin, and XRP. Beyond its ETP suite, Grayscale operates a private funds business with over 30 products for accredited investors, carrying a 2.5% management fee and covering tokens not yet available in ETP form. Grayscale earns revenue almost entirely through management fees — a percentage of daily AUM — accrued in USD but paid in the underlying token, which Grayscale converts to cash. Revenue is highly sensitive to digital asset prices and net flows. Grayscale's growth strategy focuses on expanding Mini Trust distribution onto wirehouse and advisor platforms, converting private funds to ETPs under new SEC listing standards, and building out a Principal Investments balance sheet with direct digital asset exposure.
