DESCRIPTION

Bain Capital GSS Investment Corp. is a SPAC — a blank check company with no operations, employees, or identified acquisition target. Its sole purpose is to identify and complete a merger or acquisition with a private business, thereby taking that business public. The company raised $460M in its October 2025 IPO, with proceeds held in a trust account earning interest until a deal closes. The sponsor is Bain Capital GSS Investment Sponsor LLC, controlled by partners of Bain Capital Special Situations, a Bain Capital business unit with over $22B in assets under management focused on flexible capital solutions including growth equity, PIPEs, and control and non-control equity investments. The sponsor earns its return through "the promote": it acquired roughly 11.5M founder shares at a nominal price, representing approximately 20% of post-IPO shares.
