DESCRIPTION

ContextLogic is a holding company that acquires and operates niche businesses with the intent to hold them permanently and compound free cash flow over time. The corporate parent is lean, focusing on capital allocation and M&A, while operating subsidiaries run independently. ContextLogic completed its first acquisition in February 2026: US Salt, a vertically integrated evaporated salt producer based in Watkins Glen, New York, and currently its only operating business. Founded in 1893, US Salt produces high-purity evaporated salt by injecting water into underground salt deposits to create brine, which is pumped to the surface and processed through evaporator systems that crystallize salt into consistent, high-purity granules. This evaporated salt — typically 99.6% to 99.9% sodium chloride — commands a price premium over lower-purity rock salt and solar salt, and serves customers in food production, pharmaceuticals, water conditioning, and pool systems. US Salt also sources and packages specialty salts from third-party suppliers to broaden its assortment. The business benefits from vertical integration: US Salt owns the deposit, operates the mine, runs the evaporators, packages on-site, and ships by truck and rail from a single facility. On-site natural gas-fired power generation supplies most of the facility's electricity while recovering waste heat for the evaporation process, giving US Salt an energy cost advantage. ContextLogic also holds approximately $2.9B in federal NOLs from its former Wish.com business, which can offset future taxable income across its acquired businesses.
