DESCRIPTION

BR Partners is a Brazilian boutique investment bank and financial advisory firm founded in 2009, focused on mid-to-large corporates, institutions, and high-net-worth individuals. The firm positions itself as an independent, conflict-free alternative to large banks, and its core business is M&A advisory — advising corporations, boards, shareholders, government agencies, and private equity funds on mergers, acquisitions, divestitures, privatizations, restructurings, and debt reorganizations. Alongside M&A, BR Partners runs a debt capital markets business, helping corporate clients raise funds through structured fixed-income instruments such as debentures, CRIs, CRAs, and FIDCs, and co-investing 5–20% in offerings it structures to align its interests with clients. BR Partners organizes its business into four lines: Investment Banking and Capital Markets (~57% of FY25 revenue), Capital Remuneration (~24%), Treasury Sales & Structuring (~16%), and Investments and Wealth Management (~3%). The Capital Remuneration line deploys BR Partners' own equity into CDI-linked securities, generating balance sheet returns that benefit from Brazil's elevated interest rates. Treasury Sales & Structuring earns spreads by helping corporate and institutional clients manage FX, interest rate, and commodity exposures through derivatives and structured products. The Investments and Wealth Management segment manages private equity funds and, since 2023, wealth for HNWIs and family offices. Revenue is largely transaction-based, making it sensitive to Brazilian M&A deal flow, credit market conditions, and the SELIC rate trajectory.
