DESCRIPTION

International SPAC Management Group I is a blank check company (SPAC) with no operating business. Its sole purpose is to acquire a private company and take it public through a merger, bypassing the traditional IPO process. The company raised $241.5M in its May 2025 IPO by selling units at $10.00 each, with those proceeds held in a trust account invested in U.S. government securities. The sponsor, International SPAC Management Group I LLC, received founder shares at a nominal cost representing roughly 22% of post-IPO shares outstanding — the sponsor's primary economic incentive, which becomes valuable only if a deal closes. Public investors receive Class A shares redeemable at approximately $10.00 plus interest if no deal closes, along with warrants providing upside if a deal is completed. The company has up to 24 months from its May 2025 IPO to complete an acquisition, with two possible 3-month extensions, for a maximum of 30 months. If no deal is completed, the trust is liquidated, public investors are returned their money, and the sponsor's shares and warrants expire worthless. Management is targeting businesses with enterprise values between $500M and $5B, focused primarily on two sectors: cryptocurrency and blockchain, and data security. Given the trust holds roughly $242M, the company would likely need to raise additional debt or equity to fund a deal at the upper end of that range.
