DESCRIPTION

Inflection Point Acquisition Corp. V is a SPAC — a shell company with no operations, revenue, or customers. Its sole purpose is to merge with a private company and take it public. The company raised $86.25M in its February 2025 IPO by selling units at $10.00 each, with proceeds held in a Trust Account invested in U.S. government securities while management pursues a target. The company has already identified a target: GOWell Technology, a Singapore-based provider of well logging technologies and distributed sensing solutions for oil and gas operators and service companies, with customers in over 50 countries and operations in the U.S. and UAE. The proposed merger would result in GOWell going public under the name GOWell Energy Technology. The sponsors paid roughly $25,000 for Founder Shares representing approximately 26% of post-IPO shares, which vest upon deal close — creating strong incentive to complete a transaction. Public shareholders can redeem shares at approximately $10.00 regardless of how they vote. The company has 15 months from its IPO to close a deal, extendable to 18 months if a deal is signed, after which the Trust Account is returned to public shareholders and the Founder Shares become worthless.
