Optimus Healthcare Services is a small holding company whose only active business is Clinical Research Alliance (CRA), a clinical trial services provider focused on oncology. CRA acts as an intermediary between pharmaceutical and biotech companies that need to run clinical trials and community-based oncology practices and hospitals — primarily in the New York Tri-State area — that want to enroll their patients in those trials. For pharma and biotech customers, CRA provides access to a network of community oncology practices and diverse patient populations, and handles the operational burden of running trials at those sites. For the oncology practices, CRA provides the infrastructure — regulatory paperwork, IRB approvals, data collection, compliance filings, and drug dispensing — that these smaller practices couldn't manage on their own. CRA charges pharmaceutical companies and CROs for specific services rendered in each trial, including startup fees, patient visits, diagnostic tests, pharmacy fees, and adverse event reporting. Revenue is driven by the number of active trials, patient enrollments per trial, and the mix of services performed. Contracts can be terminated on short notice, creating revenue variability. CRA has conducted roughly 200 trials over 12 years, working with over 40 pharmaceutical companies. Optimus' other businesses — Vitality Rx, a community pharmacy, and PainScript, a chronic care management software company — are no longer active, having been shut down or divested by end of 2023.
