DESCRIPTION

Phoenix Motor (doing business as Phoenix Motorcars) designs, assembles, and sells electric vehicles for commercial fleet operators, including transit agencies, airports, municipalities, universities, school districts, and corporate campuses. Phoenix operates two brands: Phoenix Motorcars, which covers medium-duty EVs such as shuttle buses, utility trucks, and Type A school buses built on the Ford E-Series chassis using Phoenix's proprietary electric drivetrain; and EdisonFuture, a light-duty EV platform still in development. In early 2024, Phoenix acquired the Proterra Transit business out of bankruptcy for $3.5M, expanding into heavy-duty electric transit buses and adding a manufacturing facility in Greenville, South Carolina. Phoenix sells vehicles directly to fleet customers, with revenue driven by units delivered and price per unit. Transit buses carry higher margins than medium-duty trucks. Phoenix also generates revenue from aftermarket parts and service, and holds the right to earn and sell greenhouse gas credits under EPA and CARB programs for each zero-emission vehicle it places into service. Phoenix pursues an asset-light model, relying on manufacturing partnerships rather than building its own factory network. Near-term priorities include scaling its Gen 4 drivetrain, integrating its Anaheim and Greenville operations, and developing a chassis-independent Gen 5 platform to reduce dependence on the Ford E-Series. As of year-end 2024, Phoenix had a backlog of roughly 154 transit buses and 73 medium-duty vehicle orders.
