DESCRIPTION

Kairous Acquisition Corp. is a SPAC — a shell company with no operations — formed to identify, acquire, and take public a single private business. Kairous raised $78M in its December 2021 IPO and placed those funds in a trust account. The sponsor, Kairous Asia Limited, received founder shares and private placement units at a steep discount, which convert into equity of the combined company upon a successful deal. Public investors can redeem shares for their pro rata trust account value (~$10.10/share) regardless of deal support. Kairous has identified a target: Bamboo Mart, a Cayman Islands holding company operating through NR Instant Produce, a Thailand-based food or consumer products business. The proposed deal values Bamboo Mart at $188M in base merger consideration, with additional earnout shares tied to post-closing stock price thresholds and revenue targets of $122.8M in 2025 and $170.2M in 2026. Kairous targets Asia-based companies (excluding China, Hong Kong, and Macau) with enterprise values of $120M–$300M and rapid revenue or profit growth. The company has two executive officers and no full-time employees, and has repeatedly extended its deal deadline — now targeting a March 31, 2025 close — via sponsor-funded promissory notes deposited into the trust account.
