DESCRIPTION

Expectation Acquisition Corporation is a SPAC incorporated in the British Virgin Islands with no operations or revenues. Its sole purpose is to raise capital through an IPO, hold it in trust, and use it to acquire a private company through a de-SPAC transaction. Expectation is raising $60M through an offering of 6,000,000 units at $10.00 per unit, with proceeds held in trust invested in U.S. government securities or money market funds. Expectation has 12 months — extendable to 24 months — to identify and close a business combination with a private operating company. Expectation targets middle-market businesses with enterprise values between $200M and $400M, with a focus on companies connected to Asian markets. All of Expectation's officers and directors are PRC citizens residing in China, and the company acknowledges this makes it more likely to pursue a Chinese or Hong Kong-based target. Target sectors include technology, fintech, clean energy, healthcare, consumer and retail, energy, manufacturing, and education. The SPAC structure gives public shareholders downside protection through the right to redeem shares at approximately $10.00, while the sponsor, Trending Management Corporation, acquires founder shares at a nominal price and profits only if a deal closes — creating an incentive to complete a transaction. Given that the trust is $60M and the target enterprise value range is $200M–$400M, Expectation would likely need to raise additional capital at closing to fund any deal.
