DESCRIPTION

ZeroStack is a small Nasdaq-listed company built around two unrelated businesses: Phatebo, a German wholesale pharmaceutical distributor, and a digital asset treasury centered on 0G Tokens. Phatebo is the only revenue-generating operation — it buys and resells pharmaceutical products, including oncology drugs, ADHD medications, and antidepressants, to wholesalers and pharmacies across international markets. Pharmaceutical wholesale distribution is a thin-margin business driven by volume and supplier relationships. The second pillar is ZeroStack's 0G Token treasury. The 0G blockchain is designed as a decentralized AI operating system, combining compute, storage, and data availability to let developers deploy AI models without centralized cloud providers. ZeroStack accumulates 0G Tokens as its primary balance sheet asset, funding purchases through equity and debt raises, and intends to compound holdings through staking. The company also borrowed 50M 0G Tokens via a convertible note from Zero Gravity Labs — whose CEO simultaneously serves as ZeroStack's Executive Chairman — creating a notable conflict between its largest token lender and its own board leadership. ZeroStack was originally Flora Growth Corp., a Colombian cannabis company that IPO'd in 2021, then acquired a series of hemp, cannabis, and pharmaceutical assets before selling off all cannabis and hemp operations in 2025, raising capital to accumulate 0G Tokens, and renaming itself ZeroStack. The two business pillars are operationally unrelated: Phatebo provides traditional operating revenue, while the digital asset side is effectively a leveraged crypto holding strategy.
