DESCRIPTION

Micromobility.com (MCOM) is a small company that has fully exited its original business of operating shared electric scooters and bikes in U.S. and European cities. Today, the company's only revenue-generating activity is providing software development and advisory services to Everli, a European grocery delivery company controlled by the same majority shareholder, Salvatore Palella, who also controls Micromobility.com. These services include building software and helping Everli prepare for a potential IPO. The company has 27 full-time employees, 17 of whom are in technology and R&D, primarily operating through a Serbian subsidiary. Micromobility.com earns revenue through monthly service fees paid by Everli, with the core agreement calling for monthly payments of approximately €128K. Additional agreements — including a larger service supply agreement and a platform licensing agreement — are either pending renegotiation or have not yet resulted in invoiced revenue. The business is entirely dependent on this single related-party client, which can terminate the core agreement with 30 days' notice. The company faces several other challenges: it is in default on its primary debt facility, most of which has been assigned to a Palella-controlled entity; it agreed to sell its remaining European subsidiaries and intellectual property to another Palella-controlled entity for just $0.1M; and it was delisted from Nasdaq in December 2023, now trading on OTC Pink Sheets.
