DESCRIPTION

Bain Capital Specialty Finance (BCSF) is a business development company (BDC) that makes direct loans primarily to middle-market companies — those with $10M to $150M in EBITDA — in North America, Europe, and Australia. BCSF is externally managed by BCSF Advisors, which draws on the deal sourcing, investment team, and infrastructure of Bain Capital Credit, a credit-focused affiliate of Bain Capital. BCSF's portfolio totals roughly $2.5B at fair value across 203 companies in 30 industries, concentrated in first lien senior secured loans (~64% directly, ~84% including JV look-through). The remainder is split between two co-investment joint ventures (~16%), equity and preferred equity (~15%), and subordinated debt (~5%). BCSF earns income primarily through interest, with a portfolio yield of roughly 10.8-10.9%; about 92% of investments bear floating rates, making earnings sensitive to SOFR movements. BCSF funds itself through a mix of revolving credit, a CLO, and fixed-rate unsecured notes, with a weighted average debt cost of ~4.6%. As a BDC, BCSF distributes substantially all taxable income to shareholders, paying a $0.42/share quarterly dividend. BCSF argues it focuses on the core middle market where competition is less intense than in upper middle-market lending, spreads carry a premium, and lenders can negotiate tighter documentation including financial maintenance covenants.
