DESCRIPTION

Waterstone Financial is a Wisconsin-based financial holding company with two core businesses: community banking through WaterStone Bank and mortgage banking through Waterstone Mortgage Corporation. WaterStone Bank is a community bank serving the Milwaukee metropolitan area since 1921, operating 14 branches across three counties. The bank originates and holds real estate loans — primarily multi-family residential, one- to four-family residential, and commercial real estate — funded largely by retail and brokered deposits and FHLB advances. The bank earns net interest income on the spread between its loan yields and funding costs, though its heavy reliance on higher-cost certificates of deposit weighs on that spread. Waterstone Mortgage is a national single-family mortgage originator with offices across 24 states. Unlike the bank, Waterstone Mortgage originates loans and sells them into the secondary market, earning gain-on-sale fee income rather than interest income. Purchase loans drive roughly 87% of Waterstone Mortgage's volume, making it heavily dependent on housing market conditions. The two segments are operationally linked: WaterStone Bank provides Waterstone Mortgage with its primary warehouse line of credit. WaterStone Bank is well-capitalized, which supports capital returns to shareholders through dividends and buybacks, subject to regulatory constraints applicable to savings and loan holding companies.
