DESCRIPTION

Monroe Capital Corporation (MRCC) is a publicly traded business development company (BDC) that provides secured loans to lower middle-market companies in the U.S. and Canada, typically businesses with $5M–$50M in EBITDA that are too small to access bank financing or the broadly syndicated loan market. MRCC's borrowers are often private equity-backed and using capital for LBOs, recapitalizations, or growth. MRCC is externally managed by MC Advisors, an affiliate of Monroe Capital, a Chicago-based private credit manager with ~$23.6B in assets under management; Monroe Capital's team handles all deal sourcing, underwriting, and portfolio management on MRCC's behalf. MRCC earns money primarily through interest income on its loan portfolio, funded by equity and debt, with the spread between loan yields and borrowing costs driving net investment income (NII). The portfolio is predominantly floating-rate senior secured loans. As a BDC electing RIC tax treatment, MRCC distributes at least 90% of investment income to shareholders as dividends. MRCC also holds a separately structured vehicle, MRCC Senior Loan Fund I, which lends to larger upper middle-market borrowers, though management has been winding this down. In August 2025, MRCC announced a merger agreement with Horizon Technology Finance, under which MRCC's assets will be sold to a related Monroe Capital entity and MRCC will merge into Horizon, effectively ending MRCC's existence as an independent public company.
