DESCRIPTION

AmeriCann designs, develops, and leases cannabis cultivation and processing facilities, with a focus on greenhouse-based facilities, which AmeriCann argues are cheaper to build and operate than the warehouse-based grow facilities standard in the industry. AmeriCann's only operational asset is Building 1 of the Massachusetts Cannabis Center, a 30,000 sq ft cannabis cultivation and processing facility in Freetown, Massachusetts. Historically, AmeriCann operated as a landlord, leasing Building 1 to BASK, a licensed cannabis cultivator and processor, under a triple net lease with a base monthly rent plus a revenue participation fee equal to 15% of BASK's gross cannabis sales. Following BASK's departure, AmeriCann is transitioning to operate Building 1 directly as a licensed cannabis cultivator and manufacturer, pending Massachusetts Cannabis Control Commission approval of license transfers. Going forward, AmeriCann plans to cultivate cannabis, provide extraction and manufacturing services to third-party cannabis farmers, and sell its own branded consumer products under the "AmeriCann Brands" label, including beverages, vaporizer products, edibles, and concentrates. The company is very small, with three full-time employees, and the shift to direct cannabis operations represents a significant increase in operational complexity.
