DESCRIPTION

Xeriant is an early-stage company with two undeveloped business lines: eco-friendly construction materials and aerospace technologies. Neither segment generates meaningful revenue. The primary near-term focus is NEXBOARD, a composite building panel made from recycled plastic and fiber waste, enhanced with nanotechnology. NEXBOARD is designed to replace conventional materials like drywall, plywood, OSB, and MDF, and is marketed as fire-resistant, waterproof, and mold-resistant. The product has not yet received the certifications required for commercial use and is not yet in production at scale. Xeriant plans to initially use contract manufacturers to produce NEXBOARD, with longer-term ambitions to build its own facilities, subject to raising capital. On the aerospace side, Xeriant's subsidiary, American Aviation Technologies, holds patents on a VTOL drone concept called "Halo," but this technology is not close to commercialization. A joint venture with XTI Aircraft to develop an eVTOL aircraft was terminated in 2023 and resulted in significant litigation. Xeriant's stated monetization paths include direct product sales of NEXBOARD to homebuilders and distributors, licensing the technology to third parties for royalty income, and acquiring or investing in early-stage aerospace and materials companies. The company carries substantial liabilities, including a defaulted senior secured note with accrued interest exceeding $6.5M, and is currently engaged in litigation with both XTI Aircraft and the note holder, Auctus Fund.
