DESCRIPTION

First Savings Financial Group is the holding company for First Savings Bank, a community bank based in South Central Indiana near Louisville, Kentucky. The Bank's core business is taking deposits from local consumers and businesses and deploying those funds into loans. The Bank operates several loan programs: single-tenant net lease (NNN) commercial real estate loans, which are the largest segment of the portfolio at ~$765M and are made to high-net-worth borrowers secured by properties leased to investment-grade tenants; residential mortgages serving borrowers in its six-county Indiana market; SBA 7(a) small business loans originated nationally and sold in the secondary market with unguaranteed portions retained (~$97M); and a national first-lien home equity lending platform (~$387M). The Bank earns a spread between loan yields and deposit costs, supplemented by fee income from loan sales into the secondary market. The NNN and SBA programs were intentionally built to diversify beyond the local Indiana market, generating loan volume and fee income that the local market alone cannot support. The Bank holds dominant deposit share in some rural markets, including 100% in Crawford County. First Savings Financial Group has entered into a definitive merger agreement with First Merchants, with the transaction expected to close in Q1 2026.
