Kustom Entertainment operates two businesses: a legacy law enforcement video technology segment and a growing entertainment segment. The Video Solutions business makes body-worn cameras, in-car video systems, and cloud-based evidence management software sold to law enforcement agencies and commercial fleet operators. Hardware is sold directly to customers, while cloud storage and extended warranties are sold as multi-year subscriptions, generating deferred recurring revenue. The Entertainment segment operates through TicketSmarter, an online secondary ticket marketplace covering over 125,000 live events with partnerships across more than 300 universities, and Kustom 440, a live event production company that promotes concerts and festivals including the Country Stampede music festival. TicketSmarter earns service fees as a percentage of ticket face value and also buys and resells ticket inventory directly. Kustom 440 generates revenue through ticket sales and sponsorships, with management targeting advance on-site ticket renewals to improve cash flow visibility. Entertainment is now the larger business by revenue. The company recently sold its medical billing business and signed a non-binding agreement to divest Video Solutions for approximately $6-8.5M, which, if completed, would make Kustom Entertainment a pure-play entertainment company.
