Global Arena Holding (GAHI) is a small holding company whose primary operating subsidiary, Global Election Services (GES), provides end-to-end election administration services to non-governmental organizations — including labor unions, trade associations, cooperatives, housing organizations, professional societies, and universities. GES's core service covers voter eligibility determination, mail ballot processing, and ballot scanning and tabulation using proprietary optical recognition software. GES earns fees from organizations based on the number of elections administered, the size of each electorate, and the scope of services provided. Over 80% of GES's business came from assets acquired from Election Services Solutions. GES also holds a 30% minority stake in True Vote, a startup developing a blockchain-based digital voting system. GAHI's other entity, Fortis Industria, is inactive and exploring acquisitions. As of mid-2025, GAHI has agreed to sell substantially all of GES's operating assets to GES Acquisition Corp., a new entity backed by Easterly CV VI, for consideration including $2.3M in cash, forgiveness of $1.125M in debt, equity in the new entity, and a $2.2M credit facility. The deal is pending stockholder approval and targeted to close by October 2025. If completed, GAHI will have divested its core operating business.
