DESCRIPTION

Charlie's makes and sells vapor products — primarily disposable vapes and e-liquids — targeting adult smokers as an alternative to combustible cigarettes. Charlie's sells through a network of over 3,000 specialty retailers, convenience stores, liquor stores, and gas stations in the U.S. and select international markets via direct sales, distributors, and wholesalers. The product portfolio covers two areas: nicotine-based disposable vapes under the Pacha and PACHAMAMA brands (in multiple sizes and flavors), and the SBX line, which uses Metatine, a proprietary synthetic molecule that mimics nicotine but is not classified as nicotine under federal law. Because SBX contains no nicotine, it bypasses FDA premarket authorization requirements and is not subject to state flavor bans that apply to nicotine vapes — giving Charlie's a legally compliant product in markets where most flavored competitors are technically unauthorized. Charlie's nicotine-based products are currently navigating FDA litigation after receiving Marketing Denial Orders in late 2025, with products remaining on the market under a court-ordered stay. Charlie's contracts out manufacturing primarily in China, with some domestic filling in California. The company is also investing in AI-powered, blockchain-based age-gating technology through a licensing agreement with IKE Tech, which Charlie's believes could help it eventually secure FDA authorization for flavored nicotine products — a durable advantage if achieved. Charlie's is a small operation with 35 full-time employees.
