DESCRIPTION

Bimergen Energy is a development-stage renewable energy company focused on utility-scale Battery Energy Storage Systems (BESS) and solar projects in the U.S. Bimergen has not yet generated revenue or commenced commercial operations. Its core asset is a portfolio of 23 BESS projects (~1.965 GW of storage capacity) and 13 solar projects (~1.640 GW of generation capacity), acquired from Emergen Energy in 2024. Projects are sited in rural areas along existing transmission lines across ERCOT, PJM, MISO, and WECC. Bimergen's intended business model is to own and operate BESS assets that sell electricity and grid services into wholesale markets, primarily through energy arbitrage (charging during off-peak hours and discharging at peak) and ancillary grid services. Bimergen's preferred commercial structure is long-term tolling agreements with energy trading firms, under which an offtaker manages dispatch and assumes market price risk while Bimergen receives a guaranteed floor payment plus a share of upside. No offtake agreements have been signed. Projects are expected to be financed at the project level using debt, tax equity, and equity. RelyEZ Energy Group has committed up to $50M to a joint venture targeting up to 2 GW of BESS projects. Bimergen may also sell projects outright rather than develop them.
